Terms of Service

1. Accepting these terms

These Terms of Service ("Terms") govern your access to and use of the BadgePing website and application (the "Service"), provided by BadgePing, Inc. ("BadgePing", "we", "us"). By creating an account or using the Service, you agree to these Terms.

If you use the Service on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization.

2. The Service

BadgePing helps construction and industrial teams track member certificates and sends automated alerts before they expire. The Service may include worker records, company workspaces, and related features we add over time.

3. Accounts and workspaces

You must provide accurate information when registering, keep your sign-in credentials confidential, and promptly update your information. You are responsible for activity that occurs under your account.

Company workspaces may have one or more administrators who can invite, manage, and remove members. Invited members receive email invitations and join at the permission level granted by an administrator.

4. Acceptable use

You may use the Service only for lawful purposes. You agree not to:

• violate any applicable law, regulation, or third-party right;
• misrepresent certificates or worker records, or use the Service to conceal a compliance failure;
• probe, scan, or test the security of the Service without authorization;
• scrape, reverse engineer, or create derivative works from the Service, except as permitted by law;
• interfere with or disrupt the integrity or performance of the Service, or circumvent usage limits or access controls;
• upload malicious code or send unsolicited messages through invitation or alert features.

5. Your content

You retain ownership of the records, documents, and other content you submit to the Service ("Content"). You grant BadgePing a limited, worldwide, non-exclusive license to host, store, and process Content solely to provide the Service to you.

You are responsible for the accuracy and legality of your Content, including certificate data.

6. Alerts are not a compliance guarantee

BadgePing is a tracking and notification aid. Automated alerts depend on accurate data entry and on third-party email delivery, and may be delayed or fail to arrive. BadgePing is not a certification authority and does not verify the authenticity of any certificate you record.

You remain solely responsible for verifying worker credentials and for meeting all legal, regulatory, and contractual compliance obligations. You should not rely on the Service as your only means of compliance.

7. Availability and changes

We aim for high availability but do not guarantee uninterrupted or error-free operation. We may modify or discontinue features, and may perform maintenance that temporarily affects the Service.

8. Fees

Some features may require a paid subscription. Billing terms, including fees, billing cycles, and cancellation rules, will be presented before you purchase. Fees are non-refundable except as required by law or stated otherwise at checkout. Prices exclude applicable taxes, which you are responsible for paying.

9. Intellectual property

The Service, including its software, design, and brand assets, is owned by BadgePing and its licensors and is protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or branding.

If you send us feedback or suggestions, you grant us a non-exclusive, perpetual, royalty-free license to use them to improve the Service without obligation or attribution.

10. Third-party services

The Service integrates with third-party providers, such as Google sign-in and email delivery services. Your use of those providers is also subject to their terms and privacy policies.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, or error-free.

12. Limitation of liability

To the maximum extent permitted by law, BadgePing and its personnel will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from or related to your use of the Service. Our total aggregate liability for all claims will not exceed the amount you paid us in the twelve months before the event giving rise to the claim, or fifty US dollars (USD $50) if you have not paid us in that period.

13. Indemnification

You will defend and indemnify BadgePing against third-party claims arising from your Content or your use of the Service in violation of these Terms or applicable law.

14. Termination

You may stop using the Service at any time. We may suspend or terminate accounts that violate these Terms or create risk or legal exposure for us or others. Sections that by their nature should survive termination, such as intellectual property, disclaimers, and limitation of liability, will survive.

15. Changes to these Terms

We may update these Terms from time to time. We will post the current version on this page and revise the "Last updated" date. Material changes will be announced by email or in the Service, and continued use after the effective date means you accept the updated Terms.
